Terms of Sale & Refunds
These terms cover buying a one-time license for a MetaTrader 5 indicator, Expert Advisor or bot from the NikaQuant Store at store.nikaquant.com. They do not cover the NikaQuant app or its Free / Pro / Premium subscriptions — those are under ourTerms of Service andRefund Policy. What you may do with a product once you own a license is set out in theStore License (store.nikaquant.com/license/).
1. Who sells to you
1.1 The store is run by NikaQuant ("NikaQuant", "we", "us"). The seller of every product on this store is:

1.2 Payments are processed by Stripe. Stripe is our payment processor, not the seller. Your contract for the product is with us.
2. Who can buy
2.1 You must be at least 18 and able to enter a binding contract.
2.2 Some rules in these terms apply only to consumers — people buying mainly for purposes outside their trade, business, craft or profession. If you buy for a business, the consumer-only parts (for example the statutory right of withdrawal in section 9) do not apply to you, but our own store refund policy in section 10 still does.
2.3 You are responsible for making sure that using trading software is lawful where you live and allowed by your broker and, if you trade a funded or evaluation account, by your prop firm's rules.
3. Products, descriptions and compatibility
3.1 The store sells digital software for the MetaTrader 5 ("MT5") trading platform: indicators, Expert Advisors ("EAs") and bots. Each product page lists the product type, the platform, the version number, what the product does, its inputs, and what it does not do. Only products listed on the store at the time of your order are for sale.
3.2 Products are offered as one-time licenses, not subscriptions. There is no recurring charge. Each product page shows which license options are available for that product, for example:
- One license, compiled .ex5 — the compiled program file only. No source code.
- Unlimited including source (.ex5 + .mq5) — the compiled file plus the MQL5 source code.
The exact scope of each license (how many terminals or accounts, what you may and may not do with source code) is in the Store License. If a product page and the Store License differ on scope, the Store License wins.
3.3 Check compatibility before you buy. Products run inside the MetaTrader 5 desktop terminal. They are not built for MetaTrader 4, mobile or web terminals, or other platforms, unless the product page says so. A compiled .ex5 file may need a reasonably current MT5 terminal build. Your broker's symbols, trading hours, data quality, history depth and server settings can change how a product behaves. Minimum requirements: [minimum MT5 build and supported operating systems — to be confirmed by owner].
3.4 Screenshots and promo videos on product pages show the product on real charts from the named symbol and timeframe. They show what the display looks like. They are not a promise of any result on your charts or account.
3.5 We describe products as accurately as we can. If a description is wrong in a way that matters to you, section 10 covers it.
4. Prices, currency and tax
4.1 Prices are shown on each product page in US dollars (USD) and are charged in USD on the Stripe checkout page. Your bank or card issuer may apply its own currency conversion or foreign-transaction fees. Those are between you and them.
4.2 Taxes: [whether prices include or exclude VAT / sales tax, and whether tax is calculated and added on the Stripe checkout page — to be confirmed by owner]. The amount shown on the Stripe checkout page before you pay is the amount you will be charged.
4.3 We may change prices at any time. A price change does not affect an order you have already paid for.
4.4 Discounts or promotion codes, if we ever offer them, apply only on the terms stated with the offer.
5. How ordering works
5.1 The steps are:
- Pick a product and a license option on its product page.
- Click Buy. You leave this site and land on a Stripe-hosted checkout page (a Stripe Payment Link at buy.stripe.com). This store never sees or stores your card details.
- On the Stripe page, enter your email address and payment details, check the product, license and total, and fix any input errors before you pay.
- Confirm payment on the Stripe page. That is your order.
5.2 Give a working email address at checkout. We use it to send your confirmation and your files, and to identify your order if you need support or a refund.
5.3 If you leave the Stripe page before paying, no order is placed and you are not charged.
5.4 We may refuse or cancel an order before delivery if we reasonably suspect fraud, if the product is no longer available, or if section 13 (pricing errors) applies. If we cancel a paid order, we refund you in full.
6. Order confirmation and when the contract is made
6.1 When Stripe accepts your payment, Stripe shows a confirmation and may send you a receipt by email. If you are redirected to our "Payment received" page, it says that Stripe confirmed checkout, that files are sent after payment, that the page itself is not a download, and that you should write to [email protected] if the files do not arrive.
6.2 The contract between you and us is made when Stripe confirms your payment.
6.3 We will send you confirmation of the contract on a durable medium (an email you can keep) no later than when we deliver the product. It will include the product, license option, price paid, these terms (or a link to them), and — where you gave it — a record of the consent and acknowledgement described in section 9. 7. Delivery
7.1 Products are delivered digitally. Nothing is shipped. Our "Payment received" page is not a download page.
7.2 How and when: [delivery method and timing — e.g. a download link or file sent by email to the address given at checkout within [X] hours / business days of payment — to be confirmed by owner].
7.3 You receive the file(s) for the license you bought: the compiled .ex5 file, plus the .mq5 source file if your license includes source. Installation is your responsibility; the product page and any notes we send explain the basics.
7.4 If you have not received your files within the time above, check your spam folder, then email [email protected] with the email address you used at checkout. If we still cannot deliver within a reasonable extra time, you get a full refund (section 10).
7.5 Keep your own backup copy of the files. [Whether, and for how long, we will re-send files on request — to be confirmed by owner.]
8. Your license
8.1 You buy a license to use the software, not ownership of it. NikaQuant (or its licensors) keeps all intellectual property rights in the products.
8.2 Your rights and limits — number of terminals or accounts, use of source code, no resale, no redistribution, no sharing of files — are in theStore License (store.nikaquant.com/license/). By completing your order you agree to it.
8.3 If we refund an order, the license for that order ends. You must stop using the product and delete every copy, including any source code.
9. EU / UK right of withdrawal for digital content
9.1 If you are a consumer in the European Union, the European Economic Area or the United Kingdom, you normally have a 14-day right to withdraw from an online purchase without giving a reason. The 14 days start on the day the contract is made (section 6.2).
9.2 The right is lost once delivery starts — but only with your consent.Our products are digital content not supplied on a physical medium. Under EU law (Directive 2011/83/EU, Article 16(m)) and UK law (Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, regulation 37), you lose the right of withdrawal once we start supplying the content, if:
- you expressly asked us to start supplying it before the 14 days end;
- you acknowledged that you lose your right of withdrawal once supply starts; and
- we confirmed that consent and acknowledgement to you on a durable medium (section 6.3).
9.3 How we ask for it: [checkout must show, before payment, an unticked checkbox or required field with wording such as: "I want my files delivered now. I understand I lose my 14-day right of withdrawal once the download or delivery starts." — to be added by owner to the Stripe Payment Link or a pre-checkout step].
9.4 If we did not get that consent and acknowledgement, or did not confirm it to you, you keep your full 14-day right of withdrawal, even if you have already downloaded the files, and you owe us nothing for the content supplied.
9.5 To withdraw, email [email protected] (subject: Withdrawal) before the 14 days end with a clear statement that you are withdrawing, your name, the email used at checkout and the product. You may use the model withdrawal form below but you do not have to.
9.6 If you withdraw, we refund the full amount you paid, using the same payment method, without undue delay and in any case within 14 days of receiving your notice. In practice we aim to process approved refunds within 5 business days. You must then stop using and delete the product (section 8.3).

9.7 Losing the right of withdrawal does not affect your rights if the product is faulty or not as described (sections 10 and 17).
10. Our refund policy
Software files can be copied, so we cannot take a product back once you have it. That is why we do not offer "changed my mind" refunds after delivery (except where section 9.4 gives you that right). We do refund in these cases:
10.1 Not delivered. You paid and did not receive the files, and we cannot deliver within a reasonable time after you tell us — full refund.
10.2 Faulty or not as described. The product does not install or run on a supported MT5 setup (section 3.3), or does not work in a material way as its product page describes, and we cannot fix it — by a corrected file, a replacement or clear instructions — within a reasonable time after you report it (normally [X] business days — to be confirmed by owner) — full refund.
10.3 Duplicate purchase. You were charged twice for the same product and license by mistake — we refund the duplicate.
10.4 Wrong license. You bought the wrong license option for the same product and tell us before you have used it — we can refund it so you can buy the right one. [Whether upgrades from one license to the other are offered for the price difference — to be confirmed by owner.]
10.5 Time limit. Ask within [refund window — e.g. 14 days — to be confirmed by owner] of your purchase date. This time limit does not cut down any longer period you have under consumer law for faulty digital content (section 17).
10.6 Not grounds for a refund:
- trading losses, drawdowns, or results you did not expect (see section 15);
- incompatibility with a platform, terminal, broker or setup the product page does not list as supported;
- no longer wanting the product after delivery, where section 9.2 applies;
- breach of the Store License, such as sharing or reselling the files.
10.7 Where the law gives you a remedy such as a partial refund or price reduction instead of a full refund, we will apply the law.
11. How to ask for a refund
11.1 Email [email protected] (subject: Store refund) from the email you used at checkout. Include the product, the license option, the date of purchase and what went wrong. For a fault, also include your MT5 terminal build, operating system, symbol and timeframe, and a screenshot or log if you have one.
11.2 We reply within [X] business days — to be confirmed by owner. Approved refunds are processed within 5 business days of approval, to the original payment method through Stripe. Your bank or card issuer may take a further 5–10 business days to show it.
11.3 On refund, your license ends and you must delete the product (section 8.3).
12. Chargebacks and payment disputes
12.1 Please email us before you open a dispute with your bank. Most problems are fixed faster that way, and it does not affect your legal rights.
12.2 If you open a chargeback, we may give Stripe and your card issuer the order details and our correspondence with you to respond to it.
12.3 If a chargeback is decided in your favour, or you reverse the payment, the license for that order ends (section 8.3). If we win the dispute, your license continues as normal.
12.4 We may refuse future orders from anyone who files chargebacks we reasonably believe are abusive — for example, a chargeback filed after keeping and using the product.
13. Pricing and listing errors
13.1 Mistakes happen. If a product is listed at an obviously wrong price, or the wrong product or license is linked to a checkout button, we may cancel the order before or after payment and refund you in full. Before we do, we will tell you and, where we can, offer you the correct product at the correct price.
13.2 If we have already delivered the files, you can choose to keep the product by paying the correct price, or take a full refund and delete the files.
14. Support and updates
14.1 Support is by email at [email protected]. Include your terminal build, symbol and timeframe.
14.2 We may release new versions. [Whether buyers receive future versions free, and for how long — to be confirmed by owner.] We do not promise any specific new feature.
14.3 MetaTrader 5, brokers and operating systems change. We will make reasonable efforts to keep products working with current MT5 builds during [support period — to be confirmed by owner], but cannot guarantee compatibility with future third-party changes beyond what consumer law requires.
15. No performance promise — trading risk
15.1 Our products are analysis and trading software. They are not financial, investment or trading advice, and NikaQuant is not a broker, investment adviser or regulated financial firm. We do not hold your money or trade for you.
15.2 We do not promise any profit, win rate, return or other trading result. Indicators show market history, not a forecast. Past behaviour — including in the MT5 Strategy Tester, screenshots and videos — does not indicate future results.
15.3 Trading leveraged products such as forex, CFDs, metals and crypto carries a high risk of loss, and you can lose more than you expect. Test any product on a demo account before using it on a live or funded account. Any trading decision, and any order an EA or bot places on your account under your settings, is your responsibility.
15.4 Read our Risk Disclosure(nikaquant.com/risk-disclosure/) before buying.
16. Not affiliated with MetaQuotes
MetaTrader, MetaTrader 5, MT5 and MQL5 are trademarks of MetaQuotes Ltd. NikaQuant is not affiliated with, endorsed by or sponsored by MetaQuotes. Our products are not sold through the MQL5 Market. We are also not affiliated with any broker or prop firm unless we say so.
17. Your statutory rights
17.1 Nothing in these terms limits rights you have by law that cannot be excluded or limited by contract.
17.2 For example, if you are a consumer in the EU/EEA, digital content must conform to the contract under Directive (EU) 2019/770 as implemented where you live. If you are a consumer in the UK, under the Consumer Rights Act 2015 digital content must be of satisfactory quality, fit for purpose and as described; if it is not, you may be entitled to a repair or replacement, or to a price reduction or refund. Consumers in other countries may have similar rights.
17.3 Our store refund policy in section 10 is in addition to those rights, not instead of them.
18. Limits on our liability
18.1 Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for damage caused to a consumer's device or other digital content by faulty digital content we supplied where the law makes us liable, or for anything else that cannot be limited by law.
18.2 Subject to 18.1, we are not liable for: trading losses or missed profits; losses caused by your broker, your MT5 terminal, your internet connection or your VPS; losses caused by your settings, inputs or decisions; losses from using a product in breach of the Store License or on an unsupported setup; or business losses (lost revenue, contracts or business opportunity) where you buy as a business.
18.3 Subject to 18.1, our total liability to you for any order is limited to the amount you paid for that order.
18.4 If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. Loss is foreseeable if it is obvious it will happen or if both of us knew it might happen when the contract was made.
19. Personal data
We use the details you give at checkout (such as your name, email and billing country) to process and deliver your order, provide support and handle refunds, and to meet legal and tax record-keeping duties. Stripe processes your payment details. See ourPrivacy Policy (nikaquant.com/privacy/).
20. Changes to these terms
We may update these terms. The version in force when you placed your order applies to that order. The date at the top shows when they last changed.
21. Governing law and disputes
21.1 [Governing law and courts — to be set by counsel].
21.2 If you are a consumer, you keep the protection of the mandatory consumer laws of the country where you live, and you may bring a claim in the courts of that country where the law allows it.

22. General
22.1 These terms, the Store License and the details shown on the product page and the Stripe checkout page at the time of your order are the whole agreement for that order.
22.2 If a court finds part of these terms invalid, the rest stays in force.
22.3 If we do not enforce a right straight away, we can still enforce it later.
22.4 You may not transfer your rights under these terms except as the Store License allows. We may transfer ours to another business that takes over the store, if that does not reduce your rights.
